How to start an LLC in Nevada and why the real price is higher than the Articles fee

Nevada is one of those states that sounds simple until you look at the actual filing stack. You do not just pay for Articles of Organization and move on. A Nevada LLC formation usually means three state items at once: the Articles, the Initial List of Managers or Members, and the State Business License.

Checked against Nevada Secretary of State and SilverFlume materials on August 31, 2026.

Nevada's first surprise: one filing is really three costs

The Nevada Secretary of State's LLC fee schedule lists $75 for Articles of Organization, $150 for the Initial List of Managers or Members, and a $200 State Business License fee. That means the normal state total at formation is $425 before any optional expedite fees or service-provider charges.

This is why Nevada can feel more expensive than expected. People see the Articles fee and stop reading too early.

What officially forms the LLC

SilverFlume, Nevada's business portal, says an LLC in Nevada is officially formed once the Articles of Organization and Initial List are successfully filed, and that filing includes the State Business License. The same portal says the Articles of Organization and Initial List of Managers or Members may be filed online by using the "Get a State Business License" path.

So if you want the practical version, here it is: in Nevada, the formation workflow is bundled. Treat it as one package.

What the state wants from you

The LLC fee schedule confirms the state separately tracks the Articles and the manager/member list. That second document is not decorative. It is part of Nevada's public filing setup for LLCs. You are disclosing who manages the company, and you are handling the state-level business license at the same time.

That is different from states where the first LLC filing is closer to one document and one fee.

The costs and recurring items

Nevada LLC stepCost or rule
Articles of Organization$75
Initial List of Managers or Members$150
State Business License$200
Minimum state total at formation$425
Annual or amended list$150
Annual business license renewal$200
Late fee for list$75

Do not ignore the ongoing renewal cycle

The Nevada Secretary of State's State Business License page says Title 7 entities, including LLCs, file the State Business License at the time the annual list is due. The Nevada fee schedule also shows the annual or amended list fee at $150 and the business license fee at $200. So the recurring state maintenance total is commonly $350 each year.

Official Nevada FAQ results also state the fee and renewal form are due on the last day of the anniversary month in which the license was originally filed. That is the deadline founders need on their calendar.

Expedite fees exist if you need speed

Nevada does sell faster processing. The official expedite guidelines say 24-hour expedite service is available on many filings, with the fee amount depending on the filing type. For LLC items on the fee schedule, 24-hour expedite fees range from $50 to $125 depending on the document, while 2-hour service is $500 per item and 1-hour service is $1,000 per item.

If speed matters because of a closing, contract, or banking deadline, Nevada gives you options. You just pay for them.

What Nevada does not replace

Like every state, Nevada gives you the entity but not the full operating setup. After approval, many founders get an EIN from the IRS immediately. The IRS says the EIN can be obtained free online, and the application must be completed in one session. That is usually the next move before opening a business bank account.

You may also need local licenses depending on the city or county. Nevada's state business license is a state-level requirement, not a universal substitute for local permits.

Why people still choose Nevada

Nevada still attracts founders because of its general reputation, business branding, and the way some owners think about privacy and taxes. But the honest version is this: Nevada is not a cheap first-year LLC state. If your goal is simple and low-cost, the state fees alone may push you somewhere else.

If your goal is specifically Nevada, then at least go in knowing the price structure. That makes the decision cleaner.

When paying for help makes sense

Nevada is exactly the kind of state where people pay for a filing service because the workflow is a little busier than expected. Articles, Initial List, business license, renewal timing, and possible expedite choices create more places to make a small mistake. None of it is impossible. It is just less tidy than the one-fee states.

That is a fair reason to pay for help if you value clean execution more than squeezing every dollar.

Bottom line

To start a Nevada LLC, file the Articles of Organization, the Initial List of Managers or Members, and the State Business License materials together. Budget $425 in required state fees for a standard filing. Then expect about $350 per year for the annual list and business license renewal, usually due by the end of your anniversary month. Nevada can work well, but it is not the bargain-bin option people sometimes imagine.
