How to start an LLC in Wyoming without confusing the cheap filing with the full compliance bill

Wyoming is one of the states founders bring up when they want a lower-cost LLC with a privacy-friendly reputation. The first filing really is simple. File Articles of Organization, pay $100, and keep a Wyoming registered agent with a physical address in the state. The mistake is assuming the story ends there.

The filing basics

The Wyoming Secretary of State's LLC Articles of Organization instructions say the filing fee is $100. The form also makes clear that the LLC name must include "Limited Liability Company" or an accepted abbreviation such as "LLC" or "L.L.C."

That covers the obvious part. The less obvious part is that Wyoming wants an actual registered agent with a physical Wyoming address on the filing. A drop box is not acceptable. A post office box can be listed only in addition to a physical address.

What goes into the Articles of Organization

The Wyoming form asks for the LLC name, the registered agent's name and physical address, the mailing address of the company, and the principal office address. The form is executed by an organizer.

In practice, that means a straightforward domestic filing. There is not a giant stack of startup paperwork at the state formation step. Wyoming feels clean here.

Processing and filing method

The instructions say online filing is available through WyoBiz. For mailed filings, the state says processing time is up to 15 business days after receipt. Wyoming statutes do not allow expedited filing at this time.

That is useful to know because some founders assume every state sells rush service. Wyoming does not, at least not under the state instructions used for the standard LLC formation form.

The annual report rule matters

Wyoming's LLC instructions warn that annual reports are due every year on the first day of the anniversary month of formation. If the report is not paid within 60 days of the due date, the entity is subject to dissolution.

That is a real deadline, not a soft suggestion. If you form in June, your annual report is due on the first day of every future June. Miss it long enough and the state can dissolve the entity.

The annual fee is not just a flat line item

The Wyoming Business Division Filing Fee Schedule says the annual report license tax for LLCs is $60 or two-tenths of one mill on the dollar, whichever is greater, based on the company's assets located and employed in Wyoming. So the common shorthand is "at least $60," but the exact number can be higher if enough assets are tied to Wyoming.

That is worth stating plainly because people often repeat only the minimum and act surprised later.

What founders usually do next

After the LLC is approved, the next practical step is usually getting an EIN. The IRS says you can get one directly on IRS.gov for free, and the online application has to be completed in one session. You do not need to pay a formation company extra just to relay information to the IRS.

From there, you handle the bank account, tax setup, contracts, and any industry licenses. Wyoming gives you the entity shell. The operating setup still belongs to you.

Where Wyoming helps and where it doesn't

Wyoming appeals to founders because the state filing itself is cheap and the compliance structure is understandable. That is real. It is also true that out-of-state owners still need to think about where the business is actually operating. If you live and do business in another state, forming in Wyoming does not automatically erase that other state's registration or tax rules.

So Wyoming is not a magic loophole. It is just one state with a comparatively clean formation process and a predictable annual maintenance rule.

Why a registered agent service is common here

Even founders who want to do the filing themselves often pay for a registered agent in Wyoming. That is partly because the state requires a real Wyoming physical address, and partly because many owners do not want that address problem on their own plate.
